End User License Agreement (EULA)

1. Agreement to Terms

By accessing and using SpinSci's software, services, and solutions ("Services"), you agree to be bound by this End User License Agreement ("EULA"). If you do not agree to these terms, do not use our Services.

2. License Grant

Subject to your compliance with this EULA, SpinSci grants you a limited, non-exclusive, non-transferable license to use our Services solely for your internal business operations in accordance with the terms of your service agreement.

3. Restrictions

You may not:

  • Reverse engineer, decompile, ordisassemble the Services
  • Modify, adapt, or create derivativeworks based on the Services
  • Distribute, sublicense, or transferthe Services to third parties
  • Use the Services for any unlawful orunauthorized purpose
  • Remove or alter any proprietarynotices or labels

4. Data and Privacy

Your use of our Services is also governed by our Privacy Policy. We are committed to protecting your data and maintaining the confidentiality of your healthcare information in compliance with HIPAA and other applicable regulations.

5. Intellectual Property

All rights, title, and interest in and to the Services, including all intellectual property rights, remain the exclusive property of SpinSci and its licensors. This EULA does not grant you any rights to use SpinSci's trademarks, service marks, or logos.

6. Termination

This license is effective until terminated. SpinSci may terminate this license immediately if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the Services and destroy allcopies in your possession.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. SPINSCI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR APARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL SPINSCI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THIS EULA OR THE SERVICES.

9. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
